These Terms and Conditions (“Terms”) govern your access to and use of the OPTMZ Peptides website at optmzpeptides.com (the “Site”) and any purchase of products from the Site. The Site is operated by Naturally Balanced LLC, a Texas limited liability company doing business as OPTMZ Peptides (“OPTMZ Peptides,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to be bound by these Terms, our Privacy Policy, our Shipping Policy, and our Refund Policy, which together form the complete agreement between you and OPTMZ Peptides. If you do not agree to these Terms, do not use the Site.

1. Definitions

“Account” means the registered user account required to access product information and place orders on the Site.

“Buyer” or “you” means the individual qualified researcher or authorized professional who registers an Account and places an order.

“Products” means the research peptides, reconstitution solutions, and related research materials offered through the Site.

“Research Use Only” or “RUO” means use exclusively for in-vitro laboratory research conducted by qualified professionals, and not for human or animal consumption, clinical use, therapeutic administration, diagnosis, treatment, cure, prevention, or any other use outside of a controlled research environment.

2. Research Use Only — Product Classification

All Products are supplied exclusively for Research Use Only. Products are not drugs, medical devices, dietary supplements, food, or cosmetics. They are not intended, packaged, labeled, or sold for human or animal consumption, clinical use, or therapeutic application.

By purchasing, you acknowledge that:

(a) Products are research chemicals supplied for in-vitro laboratory research only;

(b) Products are not approved by the U.S. Food and Drug Administration or any other regulatory authority for any therapeutic purpose;

(c) You will not administer, dose, ingest, inject, inhale, apply, or otherwise introduce Products into a human or animal body, or cause any other person to do so;

(d) You will handle, store, and dispose of Products in accordance with applicable laboratory safety standards and your institution’s standard operating procedures.

3. Regulatory Status

OPTMZ Peptides does not operate as a compounding pharmacy or outsourcing facility as defined under Section 503A or 503B of the Federal Food, Drug, and Cosmetic Act. No statement on the Site has been reviewed or evaluated by the U.S. Food and Drug Administration. Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. Nothing on the Site constitutes medical advice, and no information provided through the Site should be construed as a recommendation for any clinical or therapeutic use.

4. Buyer Representations

By creating an Account and by placing each order, you represent and warrant, on a continuing basis, that:

(a) You are at least 21 years of age;

(b) You are a qualified researcher or authorized professional acting in that capacity, and you have the training, facilities, and authority to handle research chemicals safely;

(c) You are purchasing Products solely for in-vitro laboratory research conducted by you or under your direct professional supervision;

(d) You will not use, allow, facilitate, or encourage the use of any Product for human or animal consumption, clinical administration, therapeutic application, or any non-research purpose;

(e) You are a resident of the United States and the shipping address provided is a legitimate research, professional, or non-clinical address located within the fifty United States or the District of Columbia, and is not a destination type restricted under the Shipping Policy;

(f) The Field of Qualified Research you select at registration is accurate, and you will update your Account if the basis of your qualified-research status changes materially;

(g) All information you provide to OPTMZ Peptides — including identity, age, professional capacity, shipping address, billing information, and Field of Qualified Research — is true, current, accurate, and complete;

(h) Your purchase, possession, and use of Products complies with all applicable federal, state, and local laws and regulations;

(i) You have read, understood, and agree to be bound by these Terms, the Privacy Policy, the Shipping Policy, and the Refund Policy.

A breach of any representation in this Section 4 is a material breach of these Terms and is independent grounds for cancellation of any pending order, suspension or termination of your Account, and addition to the permanent ban list described in Section 13.

5. Eligibility and Age

Use of the Site and the purchase of Products is restricted to individuals who are at least 21 years of age. Age verification is required at Account registration, and an adult signature (21+) is required upon delivery of any first-time order. We may, at any time, request additional verification of age, identity, or professional capacity.

If you are under 21, you are not authorized to use the Site, register an Account, place an order, or receive a shipment from OPTMZ Peptides.

6. Account Registration and Security

Access to product information, pricing, and ordering on the Site requires a registered Account. Account creation requires age verification (21+), acceptance of these Terms, and completion of the Field of Qualified Research declaration described in Section 4(f).

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You agree to notify OPTMZ Peptides promptly of any unauthorized access to or use of your Account.

OPTMZ Peptides may suspend or terminate any Account at its sole discretion, including for breach of these Terms, inactivity, suspected fraud, or for any other reason consistent with these Terms.

7. Order Acceptance

Each order placed through the Site constitutes an offer to purchase, subject to acceptance by OPTMZ Peptides. We may decline, cancel, or hold any order at our sole discretion, including (without limitation) where the order fails the destination screening described in our Shipping Policy, where information provided at checkout is inconsistent with prior representations, where the order profile suggests non-research procurement, or where fulfillment cannot proceed in compliance with applicable law. Where an order is cancelled in whole or in part, the corresponding payment instrument will be refunded for the cancelled portion.

Product availability, pricing, and specifications are subject to change without notice. We do not guarantee that pricing or product descriptions on the Site are free of errors; OPTMZ Peptides reserves the right to correct pricing or descriptive errors at any time, including after an order has been placed.

8. Payment

The Site accepts the payment methods displayed at checkout. By submitting a payment instrument, you represent that you are authorized to use the instrument, that the billing information you provide is accurate, and that you authorize OPTMZ Peptides to charge the instrument for the order total, including taxes and shipping where applicable.

All charges are processed in U.S. dollars through a PCI-compliant payment processor. OPTMZ Peptides does not store full payment card numbers on its servers.

9. Shipping

Shipping, delivery, signature requirements, restricted destinations, packing slip documentation, and related terms are governed by our Shipping Policy, which is incorporated into these Terms by reference. Among other things, the Shipping Policy provides that OPTMZ Peptides ships exclusively within the United States, does not ship to PO Boxes or military addresses, requires an adult signature (21+) on first-time orders, and screens shipping addresses against restricted destination types.

10. Returns and Refunds

Returns and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Due to the nature of research chemicals, all sales are generally final, subject to the exceptions identified in the Refund Policy for damaged, defective, or incorrect orders.

11. Chargebacks

If you have a billing dispute, contact OPTMZ Peptides support at info@optmzpeptides.com before initiating a chargeback. We will work in good faith to resolve any legitimate dispute.

A chargeback initiated without prior good-faith contact with OPTMZ Peptides support will result in immediate Account suspension and may result in addition to the permanent ban list described in Section 13. Where a chargeback is determined to be unwarranted — including chargebacks tied to orders that were delivered, signed for, and not the subject of a documented quality or fulfillment issue — OPTMZ Peptides will dispute the chargeback with the issuing bank and may recover associated fees and costs.

12. Acceptable Use

You agree not to:

(a) Use the Site or any Product in violation of any applicable law or regulation;

(b) Misrepresent your age, identity, professional capacity, or shipping address, or use the Site to enable another person to do so;

(c) Use the Site to facilitate the resale, distribution, repackaging, or onward supply of Products to any person or entity for human or animal consumption, clinical use, or therapeutic administration;

(d) Reverse engineer, decompile, scrape, or systematically extract content from the Site for any commercial purpose without our prior written authorization;

(e) Use the Site to introduce malware, conduct denial-of-service attacks, attempt unauthorized access to OPTMZ Peptides systems or other users’ Accounts, or otherwise interfere with the operation of the Site;

(f) Submit, post, or transmit through the Site any content that is unlawful, threatening, defamatory, or that infringes another party’s intellectual property rights;

(g) Use the Site, customer support channels, or any other OPTMZ Peptides communication channel to solicit, request, or describe dosing instructions, administration guidance, or any human-use protocol related to the Products.

A violation of this Section 12 is independent grounds for Account termination and permanent ban under Section 13.

13. Permanent Ban Policy

OPTMZ Peptides maintains a permanent ban list. Any customer who, through any channel — including order notes, email, telephone, text message, social media direct message, chargeback narrative, or third-party post — indicates, implies, describes, or solicits use of OPTMZ Peptides Products for human or animal consumption, dosing, administration, or any non-research purpose will be permanently banned from the Site, without appeal.

Bans extend to all Accounts, shipping addresses, payment instruments, email addresses, telephone numbers, and other identifying information associated with the banned customer. A banned customer may not create new Accounts. Detected attempts to circumvent a ban — including the use of alternate identities, false shipping information, or third-party intermediaries — will be documented and may be referred to law enforcement or to financial-fraud investigators where the conduct involves payment fraud, false representation, or other unlawful activity.

The grounds for a permanent ban include, but are not limited to, breach of Section 4 (Buyer Representations), Section 11 (Chargebacks), or Section 12 (Acceptable Use), as well as any conduct documented through the destination screening described in the Shipping Policy.

14. Product Information; No Warranty

OPTMZ Peptides makes reasonable efforts to ensure that product descriptions, specifications, batch data, and Certificates of Analysis published on the Site are accurate and current. However, the Site is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, OPTMZ Peptides disclaims all warranties of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.

Product stability, suitability for any specific research application, and compatibility with any particular experimental design are the sole responsibility of the Buyer. Batch-specific purity, identity, and contamination data are documented in the Certificate of Analysis published for each batch in the COA Vault.

15. Intellectual Property

All content on the Site — including text, images, logos, graphics, page design, product photography, video, brand marks, and the compilation of product information — is the property of Naturally Balanced LLC, OPTMZ Peptides, or our licensors, and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, publicly display, publish, license, sell, or create derivative works from any content on the Site without our prior written permission, except that you may view, download, and print individual Certificates of Analysis associated with your own orders for your own research records.

“OPTMZ Peptides” and associated logos are trademarks of Naturally Balanced LLC. No license to use these marks is granted by these Terms.

16. User Submissions

If you submit feedback, comments, suggestions, or other communications to OPTMZ Peptides through the Site or any communication channel (“Submissions”), you grant OPTMZ Peptides a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute the Submissions for any purpose, subject to the Privacy Policy. Submissions that describe, request, or imply human-use guidance for Products will not be published and may trigger the permanent ban policy in Section 13.

OPTMZ Peptides does not host customer-facing reviews of individual Products on the Site.

17. Privacy

OPTMZ Peptides’s collection, use, and disclosure of information about you is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site and creating an Account, you consent to the collection and retention of the Account information and order records described in the Privacy Policy, including the retention of the Field of Qualified Research declaration alongside each order.

18. Indemnification

You agree to indemnify, defend, and hold harmless Naturally Balanced LLC, OPTMZ Peptides, our parents, subsidiaries, affiliates, officers, directors, members, managers, employees, contractors, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, investigations, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in any way connected with:

(a) your access to or use of the Site;

(b) your purchase, possession, handling, storage, transfer, resale, or use of any Product;

(c) any breach by you of these Terms, the Shipping Policy, the Refund Policy, or the Privacy Policy;

(d) any breach by you of any representation or warranty set forth in Section 4;

(e) any violation by you of any applicable law or regulation, or of the rights of any third party;

(f) any use of a Product by you, by any person to whom you transfer a Product, or by any person who obtains a Product as a result of your conduct, for human or animal consumption, clinical use, therapeutic administration, or any non-research purpose;

(g) any misrepresentation by you of your identity, age, professional capacity, shipping address, or Field of Qualified Research.

OPTMZ Peptides reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate fully with our defense of any such claim.

19. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will the Indemnified Parties be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost research data, loss of business opportunity, loss of goodwill, or cost of substitute products, regardless of the legal theory on which the claim is based and even if OPTMZ Peptides has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of the Indemnified Parties to you for any and all claims arising out of or relating to these Terms, the Site, or any Product, regardless of the form of action, is limited to the total amount you paid OPTMZ Peptides for the specific Product giving rise to the claim during the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the disclaimers and limitations in Sections 14 and 19 apply to the maximum extent permitted by law.

20. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms, the Site, or any Product are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 21 (Dispute Resolution), the exclusive venue for any action permitted to be brought in court is the state or federal courts located in [CONFIRM COUNTY], Florida, and you consent to the personal jurisdiction of those courts.

21. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights and limits the way you can bring claims against OPTMZ Peptides.

21.1 Informal resolution. Before initiating arbitration or litigation, you agree to attempt to resolve any dispute by contacting OPTMZ Peptides support at info@optmzpeptides.com and providing a written description of the dispute and the relief requested. If the dispute is not resolved within sixty (60) days of our receipt of that notice, either party may proceed under Section 21.2.

21.2 Binding arbitration. Except for claims that may be brought in small-claims court and except as provided in Section 21.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any Product will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect at the time the arbitration is commenced. The arbitration will be conducted in [CONFIRM COUNTY], Florida, or by remote videoconference if both parties agree. The arbitrator’s decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

21.3 Class action waiver. Arbitration under this Section 21 will be conducted only on an individual basis and not in a class, consolidated, or representative action. You and OPTMZ Peptides each waive any right to participate in a class action, class arbitration, or representative action with respect to any dispute covered by this Section 21. If a court or arbitrator determines that the class action waiver in this Section 21.3 is unenforceable with respect to any claim, that claim will be severed from the arbitration and litigated in court, while all other claims remain subject to arbitration.

21.4 Exceptions. Notwithstanding the foregoing, either party may bring an action in any court of competent jurisdiction to seek injunctive or equitable relief to protect intellectual property rights or to enforce the permanent ban described in Section 13.

21.5 Opt-out. You may opt out of the arbitration agreement in this Section 21 by sending written notice of your decision to opt out to info@optmzpeptides.com within thirty (30) days of first creating an Account. The notice must include your full name, your Account email address, and a clear statement that you wish to opt out of arbitration. Opt-out does not affect any other provision of these Terms.

22. Severability; Entire Agreement; No Waiver; Assignment

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and OPTMZ Peptides concerning the Site and the Products, and supersede all prior or contemporaneous agreements or communications.

OPTMZ Peptides’s failure to enforce any provision of these Terms is not a waiver of that provision or of any other right under these Terms.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. OPTMZ Peptides may assign or transfer these Terms in connection with a sale of business, merger, reorganization, or similar transaction.

23. Modification of Terms

OPTMZ Peptides may modify these Terms at any time. The version in effect at the time you place an order governs that order. Material changes will be reflected on this page with an updated “Last revised” date, and where appropriate, by notice to registered Account holders. Your continued use of the Site after the effective date of any revision constitutes acceptance of the revised Terms. If you do not agree to any revision, you must stop using the Site and may request closure of your Account.

24. Survival

Sections 2 (Research Use Only), 3 (Regulatory Status), 4 (Buyer Representations), 11 (Chargebacks), 13 (Permanent Ban Policy), 14 (Product Information; No Warranty), 15 (Intellectual Property), 17 (Privacy), 18 (Indemnification), 19 (Limitation of Liability), 20 (Governing Law and Venue), 21 (Dispute Resolution), and 22 (Severability) survive any termination of these Terms or closure of your Account.
